AI Financial Corp., previously operating as ALT5 Sigma, has submitted a going concern notice to the Securities and Exchange Commission following a devastating one-third decline in the value of its World Liberty Financial token portfolio during Q1 2026.

The corporation acquired 7.28 billion WLFI tokens during August 2025 in a deal worth roughly $1.46 billion, paying approximately $0.20 for each token. Fast forward to March 28, 2026, and that same token position had shrunk to a market value of merely $706.4 million.
This steep valuation collapse generated an unrealized loss totaling $348.3 million during Q1 alone. After accounting for additional operational expenses, AI Financial disclosed a comprehensive net loss of $271.5 million for the 13-week period ending March 28—a dramatic reversal from the $2.4 million loss recorded during the equivalent period last year.
The corporation’s operating revenue reached $4.7 million, derived exclusively from its fintech payment processing operations.
Liquidity Concerns Mount
The company’s cash position stood at just $10.5 million at quarter end. Approximately $3.5 million of these funds were already earmarked for ongoing legal proceedings. Current liabilities totaling $39.1 million significantly exceeded current assets of $32.2 million.
Management openly recognized that these financial metrics “raise substantial doubt” regarding the company’s capacity to maintain operations as a going concern throughout the upcoming 12-month period.
To address immediate financing needs, AI Financial secured a $15 million loan from World Liberty Financial in January 2026, receiving $14.2 million after deducting transaction fees. The facility carries a 4.5% annual interest rate and is secured against WLFI token collateral.
Lock-Up Restrictions Limit Options
Notwithstanding paper holdings valued in the hundreds of millions, AI Financial faces severe constraints on monetizing its token position. The complete 7.28 billion WLFI token inventory remains subject to binding contractual restrictions. A portion comprising 3.53 billion tokens cannot be transferred for a minimum 12-month period. The balance of 3.75 billion tokens requires both shareholder consent and completion of a resale registration process before any disposition is permitted.
WLFI maintains approximately 46% ownership of AI Financial’s fully diluted equity base, functioning simultaneously as both creditor and substantial shareholder.
AI Financial’s chairman, Zachary Witkoff, also serves as co-founder and chief executive of WLFI. Fellow board member Zachary Folkman likewise holds a co-founder position at WLFI.
The corporation has recently completed the acquisition of Block Street Corp. and entered into a preliminary agreement to purchase Dectec, a firm specializing in decentralized technology solutions.
AIFC shares traded near $0.91 during Tuesday’s session following the regulatory filing, declining roughly 9.6% intraday. The stock has experienced a catastrophic decline of approximately 87.5% over the trailing twelve-month period.
