Zymeworks has reached a definitive agreement to take over Theravance Biopharma through an all-cash transaction valued at $929 million, offering stockholders $17 for each share — representing a 3.6% reduction from Theravance’s Friday closing figure of $17.63.
Investors responded with skepticism. During Monday’s premarket session, Theravance shares retreated 2.8% to $17.14. Zymeworks declined 1.4%.
The below-market acquisition price stands out as uncommon in merger transactions and helps clarify why the stock moved downward instead of upward. Standard acquisition agreements typically include a premium above current trading levels.
Nevertheless, the transaction does provide a 22% uplift relative to Theravance’s March 3 trading level, which followed the company’s announcement of unsuccessful late-stage clinical results for ampreloxetine — an investigational therapy targeting a rare medical condition.
The clinical setback prompted Theravance to initiate a major organizational restructuring, which eliminated approximately 50% of its employee base. Following these changes, management commenced a strategic review process to evaluate alternatives, including a potential sale.
Monday’s announcement marks the conclusion of that strategic evaluation.
Assets Included in the Transaction
The centerpiece of this acquisition is Yupelri, a once-daily nebulized respiratory medication for COPD patients that has already secured market authorization. This represents Theravance’s only revenue-generating commercial asset.
Yupelri recorded $266.6 million in domestic net revenue throughout 2025, representing a 12% increase versus 2024 figures. During the opening quarter of 2026, U.S. net revenue reached $62.4 million, marking a 7% year-over-year advancement.
Theravance maintains a 35% share of net profits from Yupelri sales in the United States, where commercialization occurs through a partnership arrangement with Viatris. According to Zymeworks’ calculations, these royalty payments and profit-sharing arrangements currently yield approximately $60 million in annual cash generation.
This transaction transitions Zymeworks — traditionally concentrated on oncology therapeutics — into the respiratory disease sector, positioning the company alongside established competitors including GSK, AstraZeneca, and Boehringer Ingelheim.
Future of Ampreloxetine Program
The unsuccessful clinical candidate remains part of the equation. Under the transaction terms, Theravance shareholders will obtain contingent value rights entitling them to 80% of any net revenue generated from a future licensing agreement, divestiture, or alternative commercial arrangement involving ampreloxetine throughout the next decade.
Zymeworks retains the remaining 20% interest and has indicated it will explore opportunities to extract value from this asset.
Zymeworks anticipates the acquisition will contribute positively to profitability metrics and cash flow generation following completion, which is scheduled for the second half of 2026.
The transaction requires regulatory clearance and approval from Theravance’s shareholder base.
Yupelri’s first quarter 2026 domestic net sales of $62.4 million reflected 7% expansion compared to the corresponding period in the previous year.
