Key Highlights
- Ondas (ONDS) has entered into an agreement to purchase 100% of Omnisys, an Israeli firm specializing in AI-driven Battle Resource Optimization (BRO) software.
- The BRO platform from Omnisys boasts over two decades of active deployment and has been validated in real combat scenarios at significant scale.
- This acquisition will introduce a profitable, software-centric operation while strengthening Ondas’ footprint across international defense sectors.
- The BRO system will merge with Ondas’ current infrastructure to establish a comprehensive “sense-decide-orchestrate-act” operational model working in tandem with the SkyWeaver AI platform.
- ONDS stock experienced a 1.5% uptick during premarket hours after the deal was disclosed.
Ondas (ONDS) has reached an agreement to acquire Omnisys, an Israeli defense technology developer specializing in AI-enhanced battlefield management software, marking a significant expansion into software-driven defense solutions.
ONDS stock experienced a 1.5% increase during premarket trading hours following the disclosure.
Omnisys specializes in developing Battle Resource Optimization (BRO) software. This technology enables military organizations to coordinate mission planning, resource distribution, and execute time-sensitive decisions across various battlefield domains concurrently.
With 25 years of operational history, Omnisys reports that BRO has been actively used in highly sophisticated defense settings, including intricate multi-layered air defense missions.
Eric Brock, CEO of Ondas, characterized BRO as a “proven, battle-tested software platform” that adds significant value through enhanced planning capabilities and real-time mission coordination across diverse operational environments.
The transaction involves a complete acquisition of Omnisys’ entire ownership stake. Ondas has submitted Form 8-K documentation to the SEC outlining further agreement details.
Integration With Current Ondas Technology
The BRO platform will operate in conjunction with Ondas’ current AI technology, SkyWeaver, functioning as a coordination and optimization engine.
Combined, these systems are designed to establish what Ondas describes as a “sense-decide-orchestrate-act” operational architecture — encompassing ISR operations, strike missions, electronic warfare capabilities, counter-UAS functions, and air defense operations.
Omnisys CEO Ofer Yarden expressed enthusiasm about leveraging Ondas’ worldwide presence to scale BRO deployment across global defense markets outside of Israel.
The vendor-neutral architecture of BRO enables seamless integration with diverse defense technologies and systems without platform-specific dependencies.
Strategic Rationale Behind the Deal
Ondas has been systematically expanding its autonomous systems capabilities through ISR platforms, counter-UAS technologies, and comprehensive defense solutions.
Incorporating a revenue-generating, software-centered operation with robust profit margins aligns directly with this strategic direction.
According to Ondas, BRO will function as a “core orchestration layer” throughout its expanding product suite — linking sensors, operational platforms, and effectors into a unified operational ecosystem.
The technology employs AI algorithms combined with operations research methodologies to produce real-time strategic options throughout the entire mission cycle, spanning initial planning to post-operation evaluation.
Oshri Lugassy, Co-CEO of Ondas Autonomous Systems, explained that BRO facilitates “true closed-loop operations” — an integrated framework where threat identification, tactical decision-making, and responsive action occur within a unified connected infrastructure.
Ondas emphasized that this acquisition strengthens its entry into U.S. and allied defense sectors while accelerating its transformation toward fully integrated, software-defined military systems.
