On March 17, 2026, Ondas (ONDS) revealed its acquisition of INDO Earth Moving Ltd., an enterprise specializing in procurement and support services for heavy engineering machinery used in military and infrastructure operations.
The transaction included an immediate revenue catalyst. INDO had previously secured a $140 million tender serving as the primary contractor to deliver heavy-tracked engineering equipment to a significant military client whose identity remains undisclosed.
The acquisition price totaled $5,663,398 in cash alongside 5,493,388 stock units. Potential earn-out compensation reaching $140 million could be distributed across three years, contingent upon INDO achieving predetermined performance targets.
Ondas maintains the option to nullify the transaction prior to the initial milestone should INDO prove unable to fulfill the tender’s specifications. Additionally, a Registration Rights Agreement was executed, providing INDO’s shareholders with mechanisms to liquidate their equity holdings while implementing daily trading volume restrictions to maintain market stability.
The program encompasses the deployment of numerous heavy engineering vehicles across a two-year timeline. It further requires establishing comprehensive maintenance and logistical infrastructure to sustain operations for a minimum of four years following delivery completion.
Contract-related revenue is projected to begin flowing in Q2 2026.
What Ondas Plans to Do With INDO
CEO Eric Brock characterized engineering vehicles as “critical” assets for contemporary military operations, emphasizing their importance in mobility support, force protection capabilities, and construction activities within combat zones.
Ondas views INDO as extending beyond a simple contract acquisition. The organization intends to leverage its current robotics capabilities — developed through subsidiaries Roboteam, Apeiro, and 4M Defense — to progressively transform INDO’s engineering vehicles into autonomous platforms.
This strategy involves integrating remote control functionality, autonomous navigation systems, and automated mission capabilities into the vehicles progressively. Ondas Autonomous Systems Co-CEO Oshri Lugassy stated the objective is transforming engineering vehicles into platforms capable of functioning in dangerous environments while eliminating personnel exposure to risk.
How This Fits the Broader Portfolio
Ondas currently maintains operations spanning aerial drone technology and ground-based robotics. This transaction introduces heavy engineering vehicles as a complementary third component to that portfolio.
4M Defense concentrates on demining operations and land intelligence gathering. Roboteam develops unmanned ground platforms utilized by defense organizations. Apeiro specializes in sophisticated ground robotics solutions. INDO’s heavy engineering vehicle capabilities integrate seamlessly into this existing framework.
The organization also highlighted prospective civilian applications, encompassing border security operations, emergency disaster response, and infrastructure development projects — although specific contracts in these sectors have not been disclosed.
Ondas indicated it will provide additional information regarding INDO’s financial projections during its earnings conference call scheduled for March 25, 2026 at 8:30 a.m. Eastern Time.
ONDS shares increased approximately 7% on March 17 in response to the announcement, following an earlier premarket advance of roughly 3% that same day.
